The role of the Company Secretariat is to support the
Group with all information and services pertaining to
the Companies Act. It covers the following aspects:
- Maintenance of Statutory records
- Compliance with the Companies Act and Stock Exchange
Listing Rules for listed companies
- Information and update on all matters regarding
company secretarial duties, including legal compliance,
the creation of new companies and Government licences
- Providing guidelines to the various Boards regarding
their duties, responsibilities and powers.
This department also acts as a link between the Group
and its various stakeholders. The department endeavours
to provide guidance and support to the Board as to their
duties and responsibilities pertaining to relevant legislation,
regulations, listing rules obligations and corporate
requirements. The same support is available to directors
individually. The Company Secretariat also ensures,
in line with Corporate Governance practices, unlimited
access to information by all Board and Committee members,
so that they may contribute to Board meetings and other
discussions.
